Improvement Project Participant Agreement

This Agreement (hereinafter referred to as the “Agreement”) is made the         day of              2017  between participating entities within the Irish White Fish Fishery Improvement Project. First: By entering into the within agreement each of the Participating Entities undertake to promote the development of a Fishery Improvement Project (FIP), including technical works, exchange of information, and training, as well as any other types of cooperation that have an aim to achieve and maintain the above mentioned Irish Whitefish Fishery (hereinafter called the “Fishery”). Second: In view of scheduling, organizing, and coordinating activities that stem from this Framework Agreement, each of the Participating Entities will appoint a coordinator that will represent said party. Any changes to the coordinators will be notified in advance to each of the Participating Entities. Through the coordinators, any of the Participating Entities may initiate proposals for activities within the scope of this Framework Agreement. Third: Actions that result from this Framework Agreement will, if same require, be implemented according to one or more agreements to be entered into separately from the within agreement (each such agreement hereinafter referred to as a “Specific Agreement”), establishing the details of each workplan, so as to guarantee the achievement of the goals of such plans, as well as the potential economic resources that may result from such agreements and those responsible for each activity. Each of the Participating Entities will have to execute said Specific Agreement on a separate, distinct basis. Fourth: The entering into of this Framework Agreement by each of the Participating Entities does not act as a prohibition in relation to these entities entering into similar agreements with other institutions or entities in relation to fisheries not included under the scope of the within agreement. Fifth: The Participating Entities will determine the admission of new FIP participants. Each new FIP participant will, prior to being accepted as Participating Entities, execute a separate agreement (exhibiting the within agreement) confirming they are aware of the terms of the within agreement and acknowledging they agree to be bound by same should they be accepted as a participant in the FIP. Sixth: Participating Entities will maintain in their relations the highest spirit of cooperation, bearing in mind that the purpose of this Framework Agreement is to benefit the activities of each one of the parties. Therefore, the tasks to be developed should be an example of cooperative effort. Seventh: The initial duration of this Framework Agreement will be for one (1) year from the date hereof and can be extended by agreement of the steering group. A participating entity may terminate their participation in this Framework Agreement by serving a minimum three (3) months prior written notice to each of the Participating Entities. Eighth: The parties agree and accept the following distribution of duties:

  1. Each of the Participating Entities undertake to discharge their portion of the expenses that will be incurred as a result of the actions agreed upon in Specific Agreements in a timely manner in the proportion set out in such an agreement.
  2. Frank Fleming (as Chairman) will provide advice on general scoping and technical coordination in order to put in place a Fishery Improvement Project (FIP) for the fisheries aforementioned at Point First.
  3. Frank Fleming will track the development of the FIP and communicate to other Parties the activities of and development within the FIP.

Ninth: The activities of the FIP, as approved by the Participating Entities, will be described in summary in an annual workplan and quarterly updates will be made public on the FIP website. The content of the annual workplan material disclosed on the website will be approved by the Participating Entities in advance of its publication. Each of the Participating Entities are encouraged to provide links to the FIP webpage on their own website, to all public policy statements made in connection with the FIP, and to other information as agreed by all the Participating Entities. Tenth: FIP participants can use the FIP logo (if one exists or is developed) or name, but no other company or Organisation can use the FIP logo or name without prior approval of all Participating Entities in writing Eleventh: This Agreement shall be construed in accordance with and governed by the laws in force in the jurisdiction of the Republic of Ireland and the parties submit to the exclusive jurisdiction of the Courts of Ireland in the resolution of any disputes or claims arising from or in connection with this Agreement In witness whereof the parties hereto have caused this agreement to be executed on the date stated hereunder: Agreed by:
